1. Agreement to Terms

By accessing or using Provena AI's services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

2. Services Description

Provena AI serves as your strategic B2B growth partner, providing lead generation, sales outreach, and business development services for companies, particularly in construction and SaaS sectors. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. Client Obligations

As a client, you agree to:

• Provide accurate and complete information about your business and target market
• Respond to communications in a timely manner
• Comply with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose
• Maintain the confidentiality of any account credentials

4. Payment Terms

Payment terms will be specified in your service agreement. All fees are non-refundable unless otherwise stated in writing. Late payments may result in suspension of services and may incur additional charges.

5. Intellectual Property

All content, materials, and intellectual property created by Provena AI remain our property unless explicitly transferred in writing. You retain ownership of your company information and data provided to us for service delivery.

6. Results

Kickoff to live system in thirty days. Inside that window we define the buyer, build and verify the lists, stand up the sending infrastructure, launch the outbound and content motion, ship the capture pages and pre-call page, and turn on the CRM and reporting layer. Results depend on the offer, the market, the data and buyer response, so Provena does not promise a specific number of replies, meetings, contracts or revenue. We review the numbers with you every week and, where a stage falls below plan, name it and change the list, the copy or the call process.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our business relationship. This obligation survives termination of services.

8. Limitation of Liability

Provena AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid for services in the three months preceding any claim.

9. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination, you remain responsible for any outstanding payments. We reserve the right to terminate services immediately for breach of these terms.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
